Transaction Support. I have played a pivotal role in significant M&A and venture capital transactions. Notably, I led a pioneering transaction involving financing from angel investors through a convertible loan contract structured under Belarusian law, setting a precedent in the local market. In transactions, my approach involves a meticulous analysis to discern crucial elements from the trivial, enabling me to prioritise effectively and deliver tailored solutions that meet the client’s needs.
Tax Expertise. Being a certified tax consultant, I bring a deep understanding of tax implications in M&A, venture capital deals and other transactions. This enables me to provide strategic advice that considers tax-efficient structuring.
Private equity and IT startups. With a background in working closely with IT startups, I offer tailored legal solutions that align with their unique requirements, ensuring legal compliance and strategic growth. I understand their needs at various stages of development and have extensive experience in fundraising and daily operations. Selected experience
- Supporting a British e-commerce company focused on luxury clothing and beauty products on acquisition of a startup with Belarusian roots developing AR-based try-on technology. The support included complex legal due diligence, advice on the transaction documents, obtaining merger clearance for the transaction, pre-closing and post-closing advice.
- Supporting the third largest communications group in the world on the acquisition of an e-commerce software company. This included legal due diligence, transaction structuring, review of the transaction documents, and corporate governance advice. The value of the transaction was EUR 200 million.
- Advising a leading online classifieds marketplace provider operating in numerous jurisdictions on sale of its shares in Belarusian subsidiaries to local management, which included transaction structuring and work on transaction documents.
- Obtaining merger clearance for a major e-gambling provider and overcoming the preliminary rejection from antimonopoly authority to clear the transaction due to the latter’s alleged negative impact on competition within the relevant market. Preparing the transaction documents.
- Supporting the transaction for the acquisition of assets and the relevant part of the business in the SEO industry, including comprehensive legal due diligence, structuring the deal, as well as preparing transaction documents, representing the client in negotiation with the counterparty.
- Working on a number of restructurings of international company groups which included mergers, liquidations, intragroup share transfers and obtaining regulatory approvals for that in Belarus. For example, I advised a Swiss multinational specialty chemical company that supplies to the building and motor vehicle industries, an Estonian mobility company that offers ride-hailing, micromobility rental, food and grocery delivery, an international home furnishing retailer with Scandinavian roots.
- Advising on establishment of joint ventures, also with participation of the state as a party, ongoing support of foreign investors in their joint venture relationship. This work has been done, inter alia, for a world-renown Italy-based corporation active in designing, manufacturing, and distributing rubber components and systems, a Chinese publicly traded automotive company, as well as for the leading mobile phone operator of Türkiye.
- Advising a company recognised as a global leader in digital strategy consulting on adapting international group company corporate governance standards to local companies of the group considering Belarusian law rules.
